$CLNE • The 2021 Agreement: Clean Energy issued warrants to Amazon.com NV Investment Holdings LLC allowing Amazon to acquire up to 19.99% (about 53.1 million shares) of CLNE stock at $13.50 per share through April 2031.
• Vesting Condition: The warrants do not vest all at once. They vest progressively based on fuel (renewable natural gas) volumes purchased by Amazon.
• Non-Cash Accounting Impact: Under U.S. GAAP accounting rules, the value of these stock-based sales incentives is treated as a reduction to revenue (contra-revenue) or an expense as the warrants vest. For example, Amazon warrant charges reduced CLNE's revenue by $10.6 million in Q3 2026 and by $30.3 million over the first nine months of 2026.
• Cash Flow vs. GAAP Earnings: While these warrant charges make Clean Energy's GAAP net income look much worse (or deepen reported losses), they are non-cash items. They do not drain physical cash from the company's bank accounts, and Clean Energy's underlying operating cash flows remain positive.

$CLNE Randy D, to your point regarding Amazon, I’m still completely lost on that one too. I’ve tried to look at it from an optimistic view. But, that is one nasty drag. And to get them to buy so much RNG. I’m lost on that as well. They do purchase it at market price my understanding. But there’s a lot of questions.

$CLNE this market has a herd mentality. If
You blindly follow the herd, ultimately you get slaughtered. Do your due diligence and stick to what you believe in, be patient, most of the time you will be rewarded handsomely.

$CLNE ~ many of us were aware, LITTLEFAIR needed to find the exit door years earlier. Currently, CEO Corbus definitely has his hands full. It’s a broken record, but their communication absolutely sucks! He had the opportunity back in June to bring up, along with additional strategic points the company was taking to move it forward. He didn’t. So far he seems very weak. Maybe this consulting firm will guide CLNE past inflection. To summarize, the fundamentals look in place from a macro perspective for the company to succeed, but as usual, it’s the leadership of CLNE that’s highly questionable. Long time holder and in extreme pain!

Another points,

  1. it looks to me like CLNE sales/marketing are waiting for the phone to ring. The sales director has been with the firm for 25 years!
2.TTE had two of their upper management sitting on CLNE board. One would think, they would or would have provided valuable insight, guiding the firm? What the hell are they even doing?

$CLNE hired a consulting firm. Anyone have insight? Gemini spit out an informative write up. Why UPPER Man isn’t communicating to shareholders? WTF?

“No Specific Engagement Date: Clean Energy Fuels Corp. (CLNE) has not publicly disclosed an engagement date or name for any tier-one third-party management consulting firm in their SEC filings (10-K/10-Q) or official press releases.”

$CLNE Does anyone know, the virtual shareholder last June, were calls screened? My call didn’t go thru. New CEO Clay didn’t answer the one and only question. “When will CLNE be profitable?” Nice work, Corbus. Nice work. 2 plus decades of nonsense, 5y of a nasty slide. And horrible communication!
Side note: EVIDENT, Littlefair needed to be shown the exit yrs ago! Corbus owes shareholders a detailed explanation of OUR strategic plan— hopefully they have one.
