Marvell's all-stock Lumentum deal is worth far less than $115 billion after a 25% slide in its shares. What analysts say and what it means for the stock.
On paper, Marvell Technology Inc. (NASDAQ:MRVL) just agreed to pay $115 billion for Lumentum Holdings Inc. (NASDAQ:LITE), one of the largest chip deals on record.
In practice, the price tag has already shrunk by about a quarter.
Marvell is paying entirely in its own shares, and investors have been selling them since reports of the talks surfaced last Wednesday.
Under the official terms announced Monday, Lumentum holders will receive 4.5 Marvell shares for each share they own.
That valued Lumentum at about $1,132 a share, or a 23.9% premium, based on Oct. 28 closing prices. Lumentum holders will end up with about a third of the combined company, and the deal is expected to close in the first half of 2028.
The market has since rewritten those terms.
Marvell has dropped 25% from its Oct. 28 close, shedding roughly $55 billion in market value, as investors balked at the price and the dilution.
The stock fell another 4.5% to $187.39 in early Monday trading, according to Benzinga Pro data.
Because the deal is paid entirely in stock, Marvell’s slide has also reduced the offer’s value.
The 4.5 Marvell shares promised for each Lumentum share were worth about $1,132 when the terms were set. At Monday’s premarket price, they are worth about $849, a quarter less.

Marvell’s Bet Is That AI’s Next Bottleneck Is Light
Management framed the deal as a race to own the shift from copper to optics inside AI data centers.
“AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation,” Marvell Chairman and CEO Matt Murphy said.
“The companies that move first and help define this transition will set the standard for decades to come,” he added.
On a joint call with analysts, Murphy said he expects the combined group to rank among the five largest AI infrastructure chip companies.
Lumentum CEO Michael Hurlston, who will join Marvell’s board, pointed to the size of the prize.
“Joining Marvell creates a company uniquely positioned to capitalize on a market opportunity of $550 billion and generate significant, sustainable stockholder value,” Hurlston said.
“Surging AI data traffic requires rapid hardware innovation, and this combination enhances our ability to deliver next-generation solutions at scale,” he added.
Marvell brings interconnect, switching and custom AI chips. Lumentum adds lasers, optical transceivers, optical circuit switching and its own indium phosphide manufacturing. The companies expect more than $1 billion in annual cost synergies and a deal that adds to Marvell’s adjusted earnings in the first year after closing.
Both Companies Used the Announcement to Reassure on Numbers
Marvell also reported preliminary third-quarter revenue for fiscal 2027 in line with guidance. It kept the midpoint of its outlook and narrowed the range to plus or minus 2%, from plus or minus 5%.
Lumentum, meanwhile, beat expectations. First-quarter adjusted earnings came in at $4.57 per share on sales of $1.263 billion, ahead of estimates of $4.19 and $1.249 billion.
Its outlook was stronger still. Lumentum guided second-quarter adjusted earnings of $5.90 to $6.20 per share, well above the $5.03 consensus, on sales of $1.575 billion to $1.625 billion.
Bank of America Sees an Earnings Engine Wall Street Is Underpricing
The deal lands weeks after Bank of America Global Research analyst Vivek Arya named Marvell his top networking pick, with a $400 price target.
Arya described the company as having “one of the few accelerating multi-year growth stories in semis.”
His case rests on breadth. According to Arya, Marvell is the only custom silicon partner working with every major hyperscaler program, and it stands to win in scale-up optics whichever architecture customers choose.
Owning Lumentum’s lasers would put that supply in-house.
Arya estimated that management’s $80 billion 2030 sales target could deliver more than $32 in adjusted earnings per share, against a consensus of $18.
He also sees further upside from Alphabet’s custom chip ramp, noting that Google holds warrants on up to 59 million Marvell shares that vest as qualifying revenue builds toward $120 billion.
The backdrop is large. Bank of America forecasts AI data center systems spending to reach about $2.2 trillion by 2030, with AI networking near $394 billion.
