Integra LifeSciences Holdings Corporation (NASDAQ:IART) completed a $2.1 billion refinancing on October 19, 2026. Its revolving credit commitment fell $700 million, from $1.3 billion to $600 million, while the new bank agreement schedules $52.5 million of term-loan principal installments during 2027, before reductions for prepayments.
The transaction extends final bank maturities and adds $450 million of 9.500% secured notes. But the headline combines committed borrowing capacity with issued debt. The outstanding balance and the realized cost of the replacement financing are separate questions.
The Print
The October 19 Form 8-K documents a $1.65 billion amended credit agreement and $450 million of issued senior secured notes. The credit agreement contains a $600 million revolving facility, a $600 million Term Loan A and a $450 million Term Loan B.
The revolving component is a commitment limit. The filing does not separately quantify the new revolver amount drawn at closing, so its full $600 million cannot be counted as funded borrowing.
Integra repaid all outstanding term and revolving loans under the old agreement and terminated its revolving commitments. The old bank facility had a March 24, 2028 maturity. Under the new contract, the revolver and Term Loan A mature October 19, 2031; Term Loan B matures October 19, 2033. The notes mature November 1, 2033.
Those are final maturities. Scheduled principal repayments begin earlier.
The Funding Mix And Repayments
At June 30, the old bank facilities consisted of a $1.3 billion revolver and a $775 million term loan, totaling $2.075 billion in facility size. The company had $1.075 billion drawn on the revolver and approximately $707.2 million outstanding on the term loan.
The replacement package totals $2.1 billion after including the $450 million issued notes. The new $2.1 billion headline exceeds the old $2.075 billion bank-facility size by $25 million. The new figure includes $450 million of issued notes; the old figure does not. These totals are not like-for-like measures and cannot establish a change in outstanding debt. Revolving capacity fell $700 million, or approximately 53.8%; term-loan facility amounts rose $275 million, and $450 million of notes were issued.
The new agreement’s Section 2.07 specifies initial quarterly principal installments from March 2027: $7.5 million for Term Loan A and $5.625 million for Term Loan B. Four installments total $52.5 million in 2027, subject to reductions for prepayments.
A separate receivables securitization facility also existed at June 30. Its commitment was $150 million, with $92.6 million outstanding and an April 2029 maturity. The bank refinancing does not by itself establish that this separate balance changed.
Pricing And Covenant Tests
Term Loan B bears Term SOFR plus 4.25 percentage points. The revolver and Term Loan A initially bear Term SOFR plus 3.00 points. Their margins subsequently move within a 2.00-to-3.25-point range after delivery of the December 2026 compliance certificate, depending on the contract-defined leverage ratio.
The $450 million notes carry $42.75 million in annualized stated coupon interest, by DFB calculation. That covers the notes alone. Integra expects its effective interest rate to rise near the high end of its previously communicated 100-to-200-basis-point range, according to its October 21 results. The realized cost under the new stack has yet to be reported for a full quarter.
Section 7.17 sets the maximum Consolidated Total Leverage Ratio at 4.50 times for December 2026, 4.25 times for 2027 and 4.00 times from 2028. For a permitted acquisition exceeding $200 million, the agreement allows up to two borrower-elected, 12-month step-ups, each capped by a 0.50-times increase and an absolute 4.50-times ceiling. A separate interest-coverage floor is 2.75 times through September 2028 and 3.00 times from December 2028.
The contractual ratio uses defined funded indebtedness and EBITDA, with qualifying unrestricted cash reflected in the debt measure. Its definitions and measurement dates matter when comparing reported leverage with contractual limits.
The Next Financial Test
At September 30, Integra reported $96 million of third-quarter operating cash flow, approximately $1.5 billion in net debt and a 3.8-times consolidated total leverage ratio. It also reported roughly $559 million in total liquidity, including $311.9 million of cash and short-term investments and the remainder available under its revolving credit facility at quarter-end.
Those figures predate the October refinancing. The liquidity total cannot simply be carried forward after the commitment reduction. Nor does the reported 3.8-times leverage figure establish post-close covenant headroom without a contract-consistent reconciliation.
Integra maintained 2026 operating cash flow guidance of approximately $190 million to $200 million. Future filings may clarify the new revolver draw, remaining principal and realized interest expense.
The bank debt has a longer final maturity profile, a smaller revolving commitment and contractual amortization beginning in 2027. Measuring the balance-sheet effect requires the funded amounts and their cost, not merely the $2.1 billion headline.
